1. Introduction
These Terms of Service and Sale (hereinafter referred to as “these Terms”) apply to your access to and use of the websites operated under the Muzata brand, including muzata.com and muzatarailing.com (hereinafter referred to as “Websites”), as well as any inquiries, quotations, design services, purchases, or procurement of custom staircases, railings, and related products (hereinafter referred to as “Products”).
By accessing our Websites or placing an order (including paying any advance payment), you acknowledge that you have read, understood, and agree to be bound by these Terms.
2. Scope of Application:Website Use
2.1 You may browse the Websites and submit inquiries for informational purposes only.
2.2 You agree not to misuse the Websites, attempt any unauthorized access, or interfere with the normal operation of the websites.
2.3 Product images, renderings, visualizations, and descriptions displayed on the Websites are for reference only. Due to the customized nature of the Products, the final delivered Products may vary from what is displayed .
3. Quotations, Product Information, and Delivery Details
3.1 Any information on the Websites does not constitute a legally binding offer. A binding commitment between the parties is formed only after Muzata issues a written confirmation document (including but not limited to invoice, pro forma invoice (PI), contract, or order confirmation) and the required advance payment has been received.
3.2 Quotations are typically based on the information ( including but not limited to dimensions, site conditions, applicable regulations or building codes, finishes, and materials, etc) provided by the Buyer. Any changes may result in corresponding price or schedule adjustments.
3.3 Final product specifications (including but not limited to specifications, model numbers, etc.) and delivery details(such as delivery location and delivery time) shall be subject to written confirmation between Muzata and the Buyer via email.
4. Custom Design and Production Drawing Services: Confirmation Process
4.1 For custom stair projects
4.1.1 For custom stair projects, Muzata provides design services(including but not limited to layout drawings, assembly drawings, and production drawings)upon your request. The typical process is as follows:
Preliminary design drawings → Buyer feedback/confirmation → Finalization of drawings → Design of Production drawings.
4.1.2 If the Buyer fails to respond within the specified review period stated in Muzata’s written notice, such non-response shall be deemed as acceptance of the provided drawings to ensure the progress of the product customization project.
4.2 For custom railing projects
4.2.1 For custom railing projects, Muzata provides design services upon your request. The typical process is as follows: Preliminary design drawings → Buyer feedback/confirmation → Finalization of drawings .
4.2.2 If the Buyer fails to respond within the specified review period stated in Muzata’s written notice, such non-response shall be deemed as acceptance of the provided drawings to ensure the progress of the product customization project.
5. Intellectual Property: Prohibition on Using Muzata Drawings for Third-Party Production
5.1 All intellectual property rights related to Muzata’s design deliverables(including but not limited to technical documents, drawings, etc.) and Products customized based on the design drawings shall remain the exclusive property of Muzata unless otherwise agreed in writing by Muzata.
5.2 The Buyer shall not use Muzata’s drawings ,technical documents or other materials for third-party production nor disclose them to any third party without Muzata’s prior written consent. Otherwise,The Buyer shall be liable for any losses incurred by Muzata as a result of unauthorized use or disclosure.
6. Payment Terms
6.1 For custom stair projects
6.1.1 For custom staircase projects, the typical payment ratio is as follows:
30% of the total payment prior to order confirmation,
30% of the total payment prior to product production, and
40% of the total payment prior to product shipment,
unless different terms are specified in the invoice or order confiramation documents mutually agreed upon between you and Muzata via email, those terms shall prevail .
6.1.2 Muzata will commence production and shipment only after receipt of the corresponding stage payments. We may provide finished product photos of the customized items for your online confirmation after production is completed. If no written objections is raised within the specified period(as notified by Muzata in writing), it shall be deemed that you have confirmed acceptance of the products, and the remaining balance shall be paid before shipment.
6.1.3 Late or overdue payments may result in suspension of production or shipment. Muzata reserves the right to charge a late payment fees of [20 ]% of the total amount(unless otherwise agreed upon between both parties via email confirmation )or other additional fees in accordance with the issued invoice or mutually confirmed order documents.
6.2 For custom railing projects
6.2.1 For custom railing projects, the typical payment ratio is as follows: You, as the Customer, are required to pay 100% of the total amount prior to confirming the order.
7. Changes, Modifications, and Cooperation Termination
7.1 Products are manufactured and delivered strictly in accordance with the production drawings finalized by you(the Buyer). If you (the Buyer) request changes to the design or specifications after Muzata has commenced production, you shall bear the resulting additional costs and responsibility for any delivery delays, and shall compensate Muzata for any losses incurred as a result.
7.2 If any advance payment (as confirmed via email between you and Muzata) is collected from you before the final order is placed, this payment can be directly applied towards the product payment. Should the cooperation be terminated due to reasons attributable to you(the Buyer), any advance payment or payments already made by you (the Buyer) shall be non-refundable unless otherwise agreed in writing by both parties.
8. Delivery, Import/Customs Clearance Cooperation, and Unloading
8.1 If your order document specifies delivery terms as DDP or similar, the quoted price includes transportation, insurance, customs duties, value-added tax, and destination customs clearance fees. However, in certain cases, specific taxes and fees in destination country (such as consumption tax) shall still be borne by you( the Buyer).
8.2 Under DDP terms, the Buyer agrees to provide necessary assistance required for customs clearance(including but not limited to providng the required information/files) in the destination country.
8.3 If special unloading requirements are needed due to on-site conditions at the destination or reasons attributable to the customer, or if overtime unloading occurs, any additional costs incurred shall be borne by you (the Buyer) (subject to the specific terms agreed upon in the mutually confirmed order or shipping documents).
9. Inspection and Claims Period
9.1 Upon delivery of the products, the Buyer shall immediately inspect the packaging condition, exterior condition, and quantity of the Products. If any damage to the packaging or quantity discrepancies are found, you must notify Muzata on the same day.
9.2 Final acceptance inspection must be completed within seven (7) days of receipt. Any defects or anomalies discovered during this acceptance process must be reported to Muzata in writing within the aforementioned period accompanied by relevant supporting evidence(such as inspection reports, photographs, test results, or other proof).
9.3 If you (the Buyer) fail to raise any written objection within 7 days after receiving the products, it shall be deemed that you (the Buyer) have confirmed the products comply with all agreed requirements, and be free from any quality issues or defects, and have passed the final acceptance inspection.
10. Installation, Site Conditions, and Building Code Compliance
10.1 Installation Obligation: Installation of the Products is the sole responsibility of the Buyer after you (the Buyer) receive the products. Muzata does not provide any installation services.All additional costs and risks associated with installation shall be borne solely by you (the Buyer).
10.2 Installation must be performed by qualified professionals and comply with Muzata’s drawings/technical requirements and applicable safety standards.
10.3 Building Code/Regulation Compliance:Building codes and regulations vary by location. The Buyer is responsible for ensuring that the finally installed product complies with all local building codes and regulations at the installation site.Muzata shall not be held liable for any issues arising from non-compliance with local codes. The building codes, regulations, and requirements of the product installation location shall always take precedence over any suggested procedures or measurement methods provided by Muzata.
11. Prohibition of Unauthorized Modifications
Upon receipt of the product, the Buyer shall not modify any main structural components(including but not limited to keels/steel beams,steps,connectors,etc.) or make unauthorized alterations to the products without Muzata’s prior written authorization. Muzata shall not be responsible for any functional failures,structural damage or safety issues resulting from such unauthorized modifications.
12. Warranty and After-Sales Support
12.1 Warranty Period: Muzata provides a 2-year warranty for custom staircase projects, and a 1-year warranty for custom railing projects, both commencing from the date of final acceptance inspection qualification.
12.2 Warranty Scope: For failures caused by defects in the material or workmanship of the Muzata product itself, we will provide repair or replacement. The warranty does not cover, but may not be limited to, failures arising from: force majeure, human-induced damage, misuse, unauthorized modifications, improper installation, disassembly, repair, or failure to operate in accordance with the installation drawings and technical requirements provided by Muzata, as well as product issues caused by factors not attributable to Muzata such as normal wear and tear, or material aging.
12.3 Support Commitment: Even After the warranty period expires, you may still contact Muzata. Should you encounter any after-sales issues at any time, Muzata will continue to work with you to diagnose and assist in resolving the issue(parts/servece fees may apply for issues outside of or excluded from the warranty scope).
13. Intellectual Property Warranty: Transshipment
13.1 Muzata’s intellectual property warranty may be limited to the destination country specified in the order documents. Unauthorized transshipment may result in additional legal or intellectual property risks,which shall be borne by you(the Buyer).
13.2 If Products are manufactured or customized according to specifications,designs,trademarks, or other materials provided by you(the Buyer), you(the Buyer) warrant that you possess all necessary rights to provide such specifications, designs, trademarks, or materials, and that their use will not infringe upon any third-party rights. Otherwise,you(the Buyer)shall bear full responsibility and indemnify Muzata for any infringement disputes arising therefrom.
14. Limitation of Liability
To the maximum extent permitted by law:
Muzata shall not be liable for any indirect, incidental, special, consequential,or punitive damages.
Muzata’s total liability arising from or related to the products shall not exceed the actual amount paid for the specific Products giving rise to the claim(except where otherwise mandated by law).
15. Force Majeure
Muzata shall not be liable for any delays or failure in performance resulting from force majeure events(including but not limited to natural disasters, war, riots, government actions or prohibitions, strikes, blockades, pandemics/epidemics, and other unforeseeable, unavoidable, and insurmountable objective circumstances). However, Muzata shall provide timely notification to you (the Buyer) and take reasonable measures to mitigate the impact.
16. Governing Law and Dispute Resolution
Disputes shall first be resolved through friendly consultation.If consultation fails, either party may submit the dispute to the Shanghai International Economic and Trade Arbitration Commission (SHIAC) for arbitration in Shanghai in accordance with its then-effective rules. The language of the arbitration shall be Chinese.These terms and related matters shall be governed by the substantive laws of the People's Republic of China (excluding the Hong Kong Special Administrative Region, the Macau Special Administrative Region, and Taiwan).
17.Terms Updates
Muzata may publish revised versions of these Terms on our website from time to time to incorporate updates. The “Last Updated” date indicates the effective date of the terms.
